The following terms and conditions ("Terms of Service") govern our Clients’ use of the services provided by Jaive LLC ("Jaive", "we", "us", or "our"). By using our services, you agree to these terms.

1. Services

Jaive provides AI consulting and product building & deployment services as described in our Service Overview.

2. Compensation

You agree to pay for the services as set forth in the Jaive Services Agreement you signed.

3. Client Responsibilities

As outlined in the Agreement, you agree to provide necessary information and cooperate for the successful execution of the services.

4. Intellectual Property

You acknowledge that Jaive owns the intellectual property rights to any pre-existing materials or technology used in the provision of the services. Upon full payment, we grant you a non-exclusive, non-transferable license to use the deliverables for your internal business purposes.

5. Termination

You may terminate your agreement with us as set out in the Jaive Services Agreement. Upon termination, you will pay for any services rendered up to the termination date.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the Agreement.

7. Governing Law

This Agreement will be governed by and interpreted in accordance with the laws of the jurisdiction set in the Jaive Services Agreement.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Jaive or any of its officers, directors, employees, or agents be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in connection with your use of our services.

9. Amendments

We may amend these Terms of Service from time to time. We will provide notice of any changes on our website.
